Terms of Service

Totalcoin (TC) is a hosted wallet and an exchange service that allows users to exchange currency for bitcoins and vice versa as well as exchange bitcoin for other cryptocurrencies and store them in the hosted wallet. Users can use the platform to create ads where they offer to buy or sell bitcoin. Other users respond to this ad, and two users can make a deal to exchange bitcoins. In order for the user to be able to sell bitcoins, he (the “seller”) must store them in the TC wallet associated with her account, from where the bitcoins are transferred to the user buying the bitcoins (“buyer”) after the seller confirms the payment.

All trades on this site are held between users of the service. TC helps to resolve disputes in case such arise between buyers and sellers and is acting as an escrow service, TC itself is not a party to any Bitcoin trading or transaction conducted by its users.

These Terms of Service (the “Agreement”) constitute a legal agreement covering the provision of services (“service” or “services”) provided by Totalcoin Limited (“TC” or “Totalcoin”, or “us” or “ours”, or “We”) for you as an individual (“you” or “your”). Your use of the services will be governed by this Agreement (totalcoin.io/terms), our Privacy Policy (totalcoin.io/terms) and Risk Disclosure (totalcoin.io/risks). Please read these documents carefully before accepting them.

Before you can register an account, you must accept our Terms of Service and Privacy Policy. By accepting this Agreement or using the Service, you expressly acknowledge and agree that you enter into a legal agreement with us, as well as understand and agree to abide by this Agreement and be legally associated with it.

We will try to notify you of changes to these Terms of Service that could materially affect your rights and obligations before the changes take effect. You can terminate this Agreement at any time by concluding all outstanding transactions, removing all remaining balances and deleting your account.

1. User Account

In order to use our services you require a user account (“User Account” or “Account”). Necessary condition for using our services is that all the data you provide is correct, current and complete. If we believe that the data is not correct, current or complete, we have the right to deny you access to the site or any of its resources, as well as to close or suspend your account.

To be eligible to use our services, you must be at least 16 years old. You can only use your account at TC. You can only act on your own behalf. You cannot use your account as an intermediary or broker for any individual or legal entity. You do not have the right to sell, borrow, share or otherwise provide access to your account or any details necessary for accessing your account to persons or organizations other than you.

You are responsible for maintaining proper security and control over all, without exception, user names, passwords, two-factor authentication codes, or any other codes or credentials that you use to access the services.

Your account should not contain misleading or fraudulent information, including but not limited to having a non-personal phone number. It is forbidden to create fake information about the reputation of your account, to falsify the country of origin, or to provide fake identification documents.

In order for TC to be a safe platform for all, we may require to verify your identity to access some of the services we offer. Identity verification may be required when creating advertisements, passing certain trade volume limits, during trade disputes, fraud investigations, and to secure ownership of the account. As part of our identity verification process, we require that you provide us with your full name, as well as documents and photos proving your identity.

In certain situations, we may require enhanced identity verification. This may include requirements to verify details or sources of funds regarding payments that you made or received during trading with us, as well as transactions with bitcoins that you sent or received from your account.

Accounts verified by ID have an explicit owner, which makes it easy to return access to you if you lose all access rights to your account. It is very difficult or impossible to regain access to unverified accounts, even if you know your username, as it is difficult to determine the original owner of the account.

Limiting Access to your account.

Sometimes situations arise where we may need to limit, suspend or terminate your account. Account restriction (“restriction”, “restriction”) leads to a temporary or permanent loss of access to a specific part or parts of the services we offer. Suspension of an account ("suspension", "blocking", "ban") leads to a temporary loss of access to most of the services we offer. We have the right to limit, suspend or terminate your account or access to the services we provide you if:

You acknowledge that our decision to limit, suspend or terminate your account may be based on confidential criteria that are important to our risk and security management protocols, and that we are not required to disclose the details of our risk and security management procedures to you.

In the event that we restrict, suspend or terminate your account, we will cancel the suspension as soon as possible, as soon as the reasons for the suspension or termination are terminated.

2. Hosted Wallet Service

TC is a hosted cryptocurrency wallet which may have its limitations and risks. For the whole scope of associated risks please read (totalcoin.io/risks).

In certain situations, your ability to access, conduct transactions in cryptocurrency stored in TC hosted wallet or start trading using crypto stored in your TC wallet may be limited.

This restriction can be applied specifically to your account in order to protect crypto stored in your wallet when we, for example, suspect that a third party has gained unauthorized access to your account; if we suspect you of engaging in fraudulent or illegal activities; if we are provided with a valid legal request from the authority.

This restriction may generally apply to all users or a subset of our users during interruptions in service or interruptions in site maintenance; during bitcoin hardforks or in other situations where we believe that there is a high risk to your crypto balance.

In the event that we restrict access to your wallet, we seek to remove the restriction as soon as possible when the reasons for the suspension or termination no longer exist.

Usually we notify you of any restrictions on access to your wallet, but we can, if it is reasonable to do this (for example, we consider it expedient for security reasons), restrict access to your wallet without prior notice.

You acknowledge that our decision to restrict access to your wallet may be based on confidential criteria that are important to our risk and security management protocols, and that we are not required to disclose to you the details of our risk and security management procedures.

3. Crypto-to-Crypto Exchange

One of the advantages of using TC is that several large organizations provide us with liquidity and quotation information. Being a market participant, Totalcoin does not manipulate rates. We consider it our duty to provide customers with the most profitable buying and selling conditions. In addition, Totalcoin makes every effort to maintain an extremely high speed of order execution.

Totalcoin uses STP (Straight Through Processing) and NDD (No Dealing Desk) principles of order execution. This means that the total risk for some transactions is automatically redirected to first-level liquidity providers in real time, as is the case with banks and financial companies. In other cases, Totalcoin may partially accept the risk of the transaction. Our traders can always be sure that thanks to the use of NDD technology, we do not intervene in the position of the trader manually and do not manipulate the quotes.

4. Fiat-to-Crypto Exchange

You can initiate bitcoin transactions (“trade” or “contact”) to buy or sell bitcoins by sending requests to trade advertisements created by other users.

By submitting a request for trading, you agree to the terms of the transaction selected and determined by the advertiser (whether by choosing from the options available to the advertiser for advertising, or by any terms and conditions of an arbitrary form set forth by the advertiser in the Terms of trade field) and displayed on the advertisement page. The terms and conditions specified by the advertiser are valid in all cases, unless they contradict or violate these Terms of Service, are unreasonable or otherwise difficult to comply with, are illegal or if both parties to the transaction agree to change the terms and conditions of trade.

The exchange rate, the number of bitcoins, the payment window, the payment method and other terms of the transaction that are displayed on the advertising page before sending a trade request cannot be changed after a trade request is sent and trading begins.

When you sell bitcoins, you must check whether you have confirmed, regardless of the buyer and their payment evidence, that you received the payment in full, that the payment was not made by a third party in the transaction, and that this was done according to your instructions given to the buyer. Once you have opened trading for the buyer, it is impossible to cancel, cancel, dispute or otherwise restore or return bitcoins to you.

Payments made by buyers must be sent by the same person who registered and uses the account. Payment details provided by merchants must match the name of the TC account holder. The creation, provision or attempt to make or provide payments to or from third parties is considered a violation of this agreement.

All communication related to the transaction should occur in the trading part of the chat so that it is easily accessible for viewing by TC team. A communication that did not occur in TC chat window or that was hidden, encrypted, or otherwise closed for viewing is not taken into account when considering and resolving a dispute.

Disputes

When the buyer and the seller disagree about the transaction, either party or TC can initiate a dispute (“Disputed transaction” or “dispute”) to initiate a mediation process regarding bitcoins held in escrow. Disputed transactions are resolved by TC support stuff.

Disputes can only be started on transactions that are open and marked as paid by the buyer. Transactions that are not marked as paid by the buyer have been issued by the seller, canceled by the buyer, automatically canceled or have already been challenged and resolved, are considered completed and cannot be challenged, canceled or changed.

When you engage in bitcoin trading, it is important that you remain active and accessible from the moment you start trading until it is completed, canceled or authorized. This means that you must be able to respond to the TC request in disputed trading within 12 hours, otherwise and disputes can be resolved against you.

During the dispute, TC support stuff can give you instructions that you must follow. These instructions may require you to provide a confirmation of payment, confirmation that you received or did not receive the payment (for example, a history of bank transactions), additional confirmation of identity, photo; audio; or video evidence, or any other documents that TC deems appropriate. Unless otherwise specified by us, these documents must be added to the most controversial transaction. Failure to follow instructions may result in a resolution of the dispute against you.

Conflict situation is usually resolved by TC stuff by the movement of Bitcoin deposited to the buyer or seller of the disputed trade once the dispute resolution criteria are met. In rare situations where either party does not meet the criteria, or for other reasons it is unclear or impossible to determine which party has met the dispute resolution criteria, TC may decide to resolve the dispute by evenly distributing the escrowed bitcoin between the buyer and the seller or unevenly.

TC can resolve a controversial deal for a Bitcoin buyer if one of the following criteria is met:

  • Buyer made payment in accordance with the instructions provided by the seller, the advertising terms of the trade or the details of the payment for the advertisement, and the buyer provided sufficient evidence that the payment was made in accordance with these instructions.
  • The seller did not respond.

TC may resolve the controversial transaction to the Bitcoin seller if one of the following criteria is met:

  • Buyer did not provide payment or did not provide payment in full
  • Buyer is not responding
  • The payment made by the buyer has been delayed / frozen / stopped by the payment provider
  • The buyer did not pay in accordance with the instructions provided to him by the seller in the trading chat, advertising terms or payment details for the advertisement.
  • Payment is made by a third party in a transaction OR payment is made from a payment account not registered in the name of the buyer.

If the buyer or seller of the disputed trade provides false information or fraudulent documents or makes false statements or otherwise tries to force a certain outcome of the disputed trade, disputes can be resolved immediately against the user.

If you believe that TC has resolved a dispute to which you are a party not in accordance with these conditions, you have the right to request a review. To request a review, you must notify us and, in particular, request a review by contacting customer support no later than 7 days after the dispute is resolved.

Advertisements.

You can create advertisements (“advertising”, “advertising” or “advertising”) to advertise that you want to buy or sell bitcoins. Other users can send you trade requests from the ad you created. A trade request has been sent to you, Bitcoin trading starts automatically.

If you have ads enabled, you must be proactive and prepared to respond to transactions started with these advertisements. If a dispute is initiated in trading with an advertiser that is inactive and accessible, the advertiser may be considered unresponsive under this agreement and the dispute may be resolved against them.

The information and payment details that you provide in advertisements and tenders must always be correct and relevant. Disputes may be resolved against you if you provide outdated payment details and the buyer completes the payment accordingly. Failure to complete transactions or provide details to pay for transactions opened for your advertising is considered a violation of this agreement.

The pricing defined in the details of the advertisement should contain all the fees that the advertiser requires from the buyer. After the start of the transaction, the price is blocked and cannot be changed, or no additional fees can be added without the consent of both parties to the transaction.

5. Our Fees.

Services are provided for a fee determined for each transaction and / or for each transaction in accordance with the prices and pricing principles set forth on our website. Such fees may include fees for incoming and outgoing transactions, interest charges for completed transactions and interest charges for seller billing services deducted from the amount paid for the bill.

6. Risk Disclosure.

By accepting this Agreement or using the Service, you expressly acknowledge and accept the risks associated with our services found under totalcoin.io/risks.

7. Privacy Policy.

Our privacy policy found under totalcoin.io/privacy is an integral part of this agreement. By accepting this Agreement or using the Service, you expressly acknowledge and agree that you have read and accepted our privacy policy.

8. Limitation of Liability

Our services are provided “as is” and “as available” for your information and use without any representation or approval. To the maximum extent permitted by applicable law, we do not give any warranty, expressed or implied, with respect to our services, including but not limited to the implied warranties of satisfactory quality, functionality and suitability for a particular purpose arising from doing business, use or trading.

Totalcoin Limited are not affiliated with or does not support or claim to be partners with any of the payment methods, services or companies that may appear in the lists of online payment methods or in advertising details. In addition, the services provided by Totalcoin Limited are not authorized, approved, approved, or sponsored by any of the payment methods listed on the website or their respective trademark owners. Lists of payment methods are displayed for informational purposes only.

Totalcoin Limited is not responsible for any user-generated content on its site, including but not limited to messages, reviews, or advertisements, but may remove or modify said content without notice or liability at any time in its sole discretion.

Totalcoin Limited reserves the right to change or terminate, temporarily or permanently, all or any part of software, tools and services, with or without notice, and / or to establish general guidelines and restrictions for their use.

If and to the maximum extent permitted by applicable law, we will not be liable for: any economic loss, any loss of goodwill or reputation, direct or indirect. Without limitation, you (and not we) bear the full cost of all necessary maintenance, repair, or correction or correction in the event of any such loss or damage.

You agree to be fully liable for all claims, liabilities, damages, losses, costs and expenses, including legal costs incurred by us and resulting from or related to any violation of this Agreement by you or any other obligations arising as a result of your use of our services or use by any other person accessing the services using your user account, device, or Internet access account.

9. Allowed Jurisdictions
